TERMS & CONDITIONS OF BUSINESS
Devon Aerial Solutions terms covering quotations, payment, inspection scope, drone operations, reports and limitations.
1. Definitions
Devon Aerial Solutions or DAS means Devon Aerial Solutions and its authorised representatives.
The Client means the individual, company, organisation, property owner, manager, agent or other party instructing DAS to undertake services.
Services means the aerial inspection, visual inspection, aerial assessment, reporting, advisory, validation, evidence-support, photography, videography, site attendance, data collection or related services agreed in writing between DAS and the Client.
Quotation means the written quotation issued by DAS setting out the agreed service, scope, price, payment terms, assumptions, exclusions and deliverables.
Report means any written report, advice note, validation record, image pack, video, recommendation, observation, assessment or other deliverable produced by DAS.
2. Scope of Services
DAS shall provide services as agreed in writing through a quotation, proposal, appointment, purchase order, email instruction or other written acceptance. The scope shall be limited to the specific service level, inspection area, deliverables, assumptions and exclusions identified within the agreed quotation or written scope.
DAS services are visual, external and non-intrusive unless expressly agreed otherwise in writing. DAS does not provide intrusive investigation, opening-up works, material testing, laboratory testing, structural calculations, structural certification, statutory inspection duties, legal certification, expert witness testimony, remedial works, contractor appointment or contractor supervision unless expressly agreed in writing and supported by suitable competence and insurance.
3. Quotations
Unless otherwise stated, quotations remain valid for thirty (30) calendar days from the date of issue. DAS reserves the right to withdraw or amend a quotation at any time prior to acceptance. Acceptance confirms acceptance of the agreed scope, price, payment terms, assumptions, exclusions and these Terms and Conditions.
4. Payment Terms
Payment shall be made in accordance with the payment terms stated within the issued quotation. Unless otherwise agreed in writing, standard DAS payment terms are: Tier 1 Visual Inspection: full payment before inspection attendance, booking confirmation or mobilisation. Tier 2 Aerial Assessment: 50% before inspection attendance, booking confirmation or mobilisation, with the remaining 50% before release of the final report, imagery, footage or deliverables. Bespoke / Tier 3 Support: payment terms confirmed within the written quotation or agreed scope.
Reports, imagery, footage and other client deliverables shall not be issued until the required payment has been received unless otherwise agreed in writing. Payment terms are seven (7) days unless otherwise agreed in writing. DAS is not currently VAT registered.
5. Site Access and Client Information
The Client shall provide all information reasonably required to undertake the services, including site access arrangements, relevant hazards and restrictions, contact details, and existing drawings, reports or asset information where applicable.
6. Drone Operations
All drone operations shall be undertaken in accordance with applicable United Kingdom legislation, Civil Aviation Authority requirements and operational limitations. DAS reserves the right to postpone, suspend or terminate flights due to adverse weather, airspace restrictions, safety concerns, equipment malfunction, third-party interference or site access issues.
7. Inspection Limitations
All inspections undertaken by DAS are non-intrusive visual inspections unless expressly stated otherwise. DAS shall not remove coverings, finishes or structural elements, undertake destructive investigations, verify hidden or inaccessible conditions, or guarantee the absence of defects. Observations and conclusions are based solely upon conditions visible at the time of inspection.
8. Reports and Recommendations
Reports produced by DAS represent professional observations and recommendations based upon the information available at the time of inspection. Recommendations shall not be interpreted as design advice, structural certification, engineering approval or confirmation of regulatory compliance unless expressly stated otherwise.
9. Intellectual Property and Copyright
All reports, photographs, video recordings, imagery and associated deliverables remain the intellectual property of DAS until full payment has been received. Upon receipt of full payment, the Client receives a non-exclusive licence to use the deliverables for the purpose for which they were commissioned.
10. Confidentiality
DAS shall treat Client information as confidential and shall not disclose such information except where required by law, required for insurance purposes, or necessary to fulfil the agreed services.
11. Data Protection
DAS shall process personal data in accordance with applicable data protection legislation and the DAS Privacy Policy.
12. Limitation of Liability
The total liability of DAS arising from any appointment, whether in contract, negligence, breach of statutory duty or otherwise, shall be limited to the total fee paid by the Client for the services giving rise to the claim. DAS shall not be liable for indirect losses, consequential losses, loss of profit, loss of revenue, business interruption or third-party claims.
13. Reliance by Third Parties
Reports and deliverables are prepared solely for the use of the Client. No responsibility is accepted to any third party without the express written consent of DAS.
14. Complaints
Any complaint regarding the services provided shall be submitted in writing within fourteen (14) days of the issue arising. DAS shall investigate and respond within a reasonable period.
15. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16. Acceptance
Instruction of DAS, acceptance of a quotation, payment of fees or commencement of services shall constitute acceptance of these Terms and Conditions.
